Version v1-2026-10 · Effective October 9, 2026
This Queuella Payments addendum is an agreement between Queuella LLC, a Texas limited liability company ("Queuella", "we"), and the business that uses Queuella's in-person card payments ("you"). It adds to the Queuella Terms of Service and applies only to card payments taken through Queuella on a Stripe card reader. Where the two disagree about card payments, this addendum controls.
Card payments are processed by Stripe, not Queuella; Queuella is the software that connects your till to Stripe. To take card payments you must open your own Stripe account and agree with Stripe to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the "Stripe agreement"). By accepting this addendum or taking card payments through Queuella, you agree to be bound by the Stripe agreement, as Stripe may change it. The Stripe agreement is between you and Stripe and is incorporated into this addendum by reference.
Stripe, not Queuella, verifies your identity, business and bank details and decides whether to approve, limit, hold or close your Stripe account. You agree to give Queuella and Stripe accurate information and authorize Queuella to share it, and your card payment details, with Stripe.
Card payments are available only to a business whose Queuella workspace is set to the United States, that takes payments in US dollars, and that is on a paid Queuella plan or a free trial. They are not available in Nepal, India or any other country. Use them only for in-person sales of your own goods and services. In this version, readers work at one address: the one you confirm when you add your first reader.
You buy card readers from Stripe. Queuella works with the Stripe Reader S700 (the model we test against), the BBPOS WisePOS E and the Stripe Reader S710, and refuses other models. A card payment can be started only from a till registered in Queuella. You are responsible for keeping readers and tills secure, including changing each reader's default admin passcode. There is no offline mode: if your internet, Stripe or Queuella is down, you cannot take cards.
Each successful card payment carries two fees. Stripe's fee is currently 2.7% + 5¢ for a US card, plus 1.5% for an international card, charged on your Stripe account under Stripe's own pricing, which Stripe may change (stripe.com/pricing). Queuella's fee (our "application fee") is a flat 5¢, which Stripe collects from each payment for Queuella.
So today a US card payment costs 2.7% + 10¢ in total, and an international card 4.2% + 10¢. Stripe's percentage applies to the full amount, including tip and tax. Queuella's fee is never more than the payment minus 1¢, and neither fee is charged on a payment that is declined or canceled before it completes. Readers, Stripe's dispute fees and optional Stripe services are separate, and Queuella's fee is in addition to your subscription.
Queuella keeps its 5¢ fee when a payment is later refunded, voided or disputed, just as Stripe keeps its own fee. Queuella keeps its fee even when Stripe treats a quick void as a reversal and returns its own fee to you.
We may change Queuella's fee only with at least 30 days' notice by email and in the app. A change applies only to payments started on or after its effective date.
Queuella never holds, receives or controls your sales money. Payments settle into your Stripe balance, and Stripe pays them directly to the bank account or debit card you chose in Stripe, on Stripe's schedule. Queuella cannot pause your payouts, take money from your balance or hold a reserve; it receives only its fee. Queuella notifies every owner of your workspace when your payouts are first set up and whenever the payout destination changes.
Your business is the merchant of record for every card payment. Your business appears as the seller on receipts and on customers' card statements. You are responsible for your sales, customers, refunds, disputes, chargebacks and taxes, and for following the card network rules and laws that apply to you, including the PCI Data Security Standard (Stripe provides your PCI self-assessment in your Stripe Dashboard). Queuella offers your customer a printed, email or text receipt for every card payment.
A refund made in Queuella goes back through Stripe to the original card and follows your Queuella refund approval settings. Voiding a card sale also refunds the card. If Stripe cannot send a refund, Queuella still records it and shows it under Needs attention. You can then retry it, refund it in your Stripe Dashboard and mark it "Covered by a Stripe refund", or record that you settled it another way.
Refunds made in your Stripe Dashboard bypass your approval settings. Queuella flags each one, and records it in your sales history once you match it to the sale with "Record in Queuella". You are responsible for avoiding double refunds: if you refunded a sale in Stripe, record it in Queuella or use "Covered by a Stripe refund" rather than refunding it again.
If a customer's bank disputes a payment, Stripe handles the dispute on your Stripe account. Stripe takes the disputed amount from your balance and charges you its dispute fees (currently $15, plus $15 more if you contest it, returned if you win). Queuella keeps its 5¢ fee. When a dispute opens, Queuella notifies your owners and marks the sale as disputed. On request, it also gives you the records it holds about the sale. You respond in your Stripe Dashboard by Stripe's deadline. Queuella does not respond for you and is not responsible for the outcome.
If refunds, disputes or fees leave your Stripe balance negative, Stripe may recover the amount from future payments or your bank account, as the Stripe agreement allows. You owe Stripe what the Stripe agreement says you owe. Queuella is not responsible for your Stripe balance and does not guarantee or pay anything you owe Stripe. Under Queuella's arrangement with Stripe, Stripe bears any loss it cannot recover from you, but that does not reduce what you owe.
Queuella records each card sale in your sales history. Stripe's records of what was charged, refunded and paid out are the record of the money. If the two differ, for example when a card was charged but a connection failure stopped the sale being recorded, Queuella shows the payment under Needs attention for you to resolve. Review it promptly and reconcile with your Stripe Dashboard regularly.
The reader encrypts card numbers, PINs and chip data and sends them to Stripe. Queuella never sees or stores full card numbers. Queuella stores the card brand, last 4 digits, card type and country, how the card was read, the receipt codes card networks require, Stripe's reference numbers for each payment, refund and dispute, and the name and last 4 digits of your payout account. Stripe handles card data under its own privacy policy. Our Privacy Policy explains how Queuella handles personal data and lists Stripe as a payment processor.
Stripe, not Queuella, issues Form 1099-K for your card payments where required. Stripe collects your taxpayer identification number; Queuella never sees it. You are responsible for your own taxes, including sales tax.
An owner of your workspace accepts this addendum for your business by ticking the box and selecting "Accept and continue" in Settings, after signing in recently. Acceptance binds your business. Queuella records the version, a fingerprint of its exact text, the time, the accepting owner and a one-way code derived from their network address (not the address itself). Your business must accept the current version before an owner connects Stripe or opens a Stripe setup link, and connecting also requires two-step sign-in. Every owner acts under the version your business accepted.
We may change this addendum with at least 30 days' notice by email to your workspace owners and in the app. Your business must accept the new version before its next card-setup step, such as connecting Stripe or opening a Stripe setup link. If you keep taking card payments through Queuella after the effective date, you accept the new version. If you do not agree, stop using card payments before then (section 17).
We may pause card payments for your business, or for all businesses, if we reasonably believe it is needed for security, to prevent fraud or loss, to comply with law, card network rules or Stripe's requirements, or to fix a fault. We will tell you as soon as we reasonably can. Payments already in progress are normally allowed to finish. If we pause because we suspect a processing error, an unfinished payment may be canceled instead. The customer is then not charged, though their bank may show a temporary hold. A pause does not affect your Stripe balance or your records.
You can pause and resume card payments yourself in Settings at any time. An owner who has signed in recently can disconnect Stripe whenever no card payment is in progress. Disconnecting stops card payments in Queuella but does not close your Stripe account. Its balance and payouts stay with Stripe. After disconnecting, you may need to refund earlier card sales in your Stripe Dashboard. To reconnect, contact Queuella support; reconnecting sets up a new Stripe account.
Queuella keeps your card payment records while your workspace exists. If you delete your workspace, we will not delete them while a card payment, refund or dispute is open, or within 180 days of your last card payment. We may keep them longer where the law requires. For these records, this replaces the 30-day deletion period in the Terms of Service.
Card payments in Queuella are provided "as is" and "as available". To the fullest extent the law allows, Queuella disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
Stripe provides the payment processing, so Queuella is not liable for Stripe's acts or failures, including outages, declines, holds, reserves, delayed payouts or account closures, or for failures of readers, internet connections or card networks. To the fullest extent the law allows, Queuella is not liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue, data or goodwill, arising from card payments. Queuella's total liability for all claims arising from card payments or this addendum is limited to the greater of (a) the application fees Queuella received from your card payments in the 12 months before the event giving rise to the claim, or (b) $100. For those claims, this replaces the limit in section 9 of the Terms of Service. Nothing here limits liability that the law does not allow to be limited.
This addendum is governed by the laws of the State of Texas, without regard to conflict-of-law rules, and applicable US federal law. Any dispute between you and Queuella arising from card payments or this addendum must be brought only in the state or federal courts located in Texas, and both parties consent to their jurisdiction. For those disputes, this section replaces section 12 of the Terms of Service, including its arbitration clause. Disputes between you and Stripe are governed by the Stripe agreement.
If any part of this addendum cannot be enforced, the rest stays in effect. Sections 5 (for fees already due), 7 to 13 and 17 to 22 continue after you stop using card payments. We send notices to your workspace owners' email addresses and in the app.
